Terms of Service for Docflow Labs Inc.

Welcome to Docflow Labs Inc. (“Docflow,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our software platform, tools, and services (collectively, the “Platform” or “Services”). By using the Platform, you agree to these Terms. If you do not agree, do not access or use the Platform.

Certain users, referred to as Builders, are also bound by a separate Builder Agreement, which supplements these Terms.

1. Defined Terms

  • Platform: The software-as-a-service system provided by Docflow, including tools for document automation, workflows, and AI-driven operations.
  • Services: The features, workflows, and integrations offered through the Platform.
  • Builder: An individual or entity authorized to configure workflows and manage automation for Clients via the Platform, subject to the Builder Agreement.
  • Client: A person or business entity subscribing to the Services directly or via a Builder.
  • Account: A unique user account required to access and use the Platform.
  • Login Credentials: The username, password, or other authentication mechanisms used to access an Account.
  • Content: Any data, text, images, documents, or other information submitted, uploaded, or processed on the Platform by Users.
  • Revenue Share: Payments made to Builders based on Client usage of the Platform, as outlined in the Builder Agreement.

2. Acceptance of Terms

By accessing or using the Platform, you confirm that:

  • You are at least 18 years old and have the authority to agree to these Terms.
  • The information you provide during registration is accurate and complete.
  • If you are acting on behalf of a business, you have the authority to bind the business to these Terms.

3. Use of the Platform

Docflow grants you a non-exclusive, non-transferable, revocable license to access and use the Platform, subject to compliance with these Terms.

You agree not to:

  • Share your Login Credentials or those of others, including Builders sharing credentials with Clients.
  • Reverse engineer, decompile, or disassemble the Platform.
  • Use the Platform for unlawful purposes or in violation of any applicable laws.
  • Use the Platform for personal business needs unless explicitly authorized in writing by Docflow.

Builders are authorized to use the Platform solely for testing, configuring, and managing workflows for their Clients. Misuse of the Platform may result in termination and forfeiture of Revenue Share as outlined in Section 9.

4. Builders and the Builder Agreement

Builders acknowledge that their relationship with Docflow is governed by these Terms and a separate Builder Agreement, which outlines additional obligations and responsibilities.

In the event of a conflict, the Builder Agreement will govern Builder-specific activities.

Violation of the Builder Agreement or these Terms may result in termination of access and forfeiture of Revenue Share.

5. Data and Content

  • Clients retain ownership of all data and Content they upload to the Platform.
  • Docflow retains all rights to its Platform, workflows, and software.
  • By using the Platform, you grant Docflow a limited, non-exclusive license to process, store, and display your Content solely for operational purposes.
  • Both parties agree to maintain the confidentiality of non-public information disclosed during the course of using the Platform, as outlined in applicable agreements.

6. Artificial Intelligence (AI) Usage

AI features must be used in compliance with applicable laws and Docflow's Acceptable Use Policy.

Users may not:

  • Use AI to generate harmful, discriminatory, or malicious content.
  • Use AI outputs without review in contexts requiring professional judgment (e.g., legal or medical advice).

Users are solely responsible for ensuring AI-generated content is appropriate and accurate before use.

7. Fees and Payments

Access to the Platform is subject to subscription fees outlined in your plan. Fees are non-refundable unless otherwise required by law.

Failure to pay fees on time may result in suspension or termination of your Account.

8. Warranties and Limitations

  • The Platform is provided “as-is” without any warranties of performance, uptime, or specific outcomes.
  • Docflow's liability is limited to the fees paid in the preceding three months.
  • Docflow is not liable for indirect, incidental, or consequential damages.

9. Termination and Suspension

Docflow may terminate your access for:

  • Breach of these Terms or the Builder Agreement.
  • Unauthorized use of the Platform for personal business needs.
  • Non-payment of fees.

You may terminate your Account by providing written notice.

Upon termination:

  • Access to the Platform and associated data will be immediately revoked.
  • Docflow reserves the right to delete your data unless required otherwise by law.
  • Builders found in breach may have Revenue Share withheld to offset the cost of misuse.

10. Publicity and Feedback

By agreeing to these Terms, you grant Docflow permission to use your name and logo in marketing materials. You may opt out by providing written notice.

Any suggestions or feedback provided to Docflow may be used freely without compensation or obligation.

11. Acceptable Use Policy

Users may not:

  • Share credentials or allow unauthorized access.
  • Engage in unlawful activities or violate intellectual property rights.
  • Use the Platform to spread malicious or harmful content.
  • Circumvent security measures or interfere with the Platform's operations.

12. Miscellaneous

Docflow reserves the right to modify these Terms. Continued use of the Platform constitutes acceptance of any changes.

These Terms are governed by the laws of the State of Delaware.
